The process of Merging companies is one of the most complex changes to the articles of association, which is why it is regulated exhaustively by the legislator in order to safeguard the various interests of the companies involved, namely those of the companies themselves, their partners or shareholders, creditors and employees.

 

The Merger of companies is one of the processes of company concentration. It involves the merger of two or more companies into a single company. It can take place through the global transfer of the assets of one or more companies to another, with the partners or shareholders of the merged companies being allocated quotas or shares in the remaining company, or through the incorporation of a new company, to which the assets of the merged companies are globally transferred, with the partners or shareholders of the merged companies being allocated quotas or shares in the new company, in compliance with the well-established principle of tax neutrality, thus avoiding the payment of large amounts of tax. The merger is organised as a merger by incorporation and a merger by incorporation.

   

The Demerger of a company consists of breaking up the corporate whole (assets and liabilities) held by the company in order to create one or more new and autonomous legal entities.


The Demerger is generally dictated by strategic reasons relating to the restructuring of companies, the regrouping of assets, the division and specialisation of activities, the detachment of part or all of a company's assets, and the demerger can take the form of a simple demerger, a Demerger-Dissolution and a Demerger-Merger.
